## 1. Overview

Welcome to BARISTANEST. The terms "BARISTANEST," "we," "us," and "our" refer to the operator of this website and online store. We provide this website, together with its content, features, tools, products, and related services (collectively, the "Services"), to offer customers a curated shopping experience. Our store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services.

These Terms of Service (the "Terms"), together with any policies referenced in them, govern your access to and use of the Services. Please read them carefully. By accessing or using the Services, or by placing an order, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, you must not use the Services.

Nothing in these Terms excludes or limits any rights or remedies that cannot lawfully be excluded or limited under applicable consumer law.

You are responsible for reviewing this information before ordering and for determining whether a product is suitable for your intended location and use.

We may update product descriptions, specifications, prices, or availability and may discontinue or limit quantities of a product at any time. Changes will not affect an order that we have already accepted, except where necessary to correct an obvious error, comply with law, address a safety issue, or as otherwise permitted by these Terms and applicable law.

Submitting an order is an offer to purchase the products listed in your order. An automated order acknowledgment confirms that we received your order but does not necessarily mean that we have accepted it. A binding purchase contract is formed when we send an order acceptance or shipping confirmation, or otherwise begin fulfilling the order, depending on the process stated at checkout and applicable law.

We may refuse, limit, or cancel an order before acceptance when, for example:

- a product is unavailable;
- payment cannot be authorized;
- the price or product information contains an obvious error;
- the order appears fraudulent, abusive, or intended for unauthorized resale;

If we cancel an order after receiving payment, we will refund the amount paid for the cancelled portion using the original payment method, subject to applicable law. We will use the contact information submitted with the order to notify you.

Any applicable charges will be shown at checkout when reasonably possible or may be collected separately by the carrier or relevant authority. Payments are processed by Shopify or other third-party payment providers. You represent that you are authorized to use the selected payment method and authorize the applicable charges. We do not directly store complete payment-card details where they are handled by our payment providers.

Promotions may be subject to separate terms. If promotional terms conflict with these Terms, the promotional terms apply to that promotion.

Delivery dates are estimates unless expressly stated to be guaranteed. Delays may occur because of carriers, customs, weather, peak periods, incorrect customer information, or events outside our reasonable control. You are responsible for providing a complete and accurate delivery address and contact details. Additional costs caused by an incorrect or incomplete address may be charged where permitted by law. We may limit or block automated access that is deceptive, harmful, excessive, unauthorized, or inconsistent with those instructions.

We may suspend or restrict access where we reasonably believe these Terms have been violated or where necessary to protect customers, BARISTANEST, Shopify, or the Services.

## 9. Intellectual Property

The Services and their content—including trademarks, logos, names, text, product descriptions, photographs, graphics, videos, audio, layout, and design—are owned by or licensed to BARISTANEST and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for personal, non-commercial purposes in accordance with these Terms. Except where permitted by law or with our prior written consent, you may not reproduce, modify, distribute, republish, publicly display, create derivative works from, or commercially exploit our content or branding.

BARISTANEST names, logos, product names, designs, and slogans may be trademarks of BARISTANEST or its licensors. Shopify names and marks belong to Shopify or its licensors. No license to use any trademark is granted by these Terms.

## 10. Reviews, Feedback, and User Content

If you submit a review, photograph, suggestion, comment, or other content ("User Content"), you retain ownership of your content but grant BARISTANEST a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, reproduce, adapt, publish, translate, display, distribute, and use it for operating, improving, and promoting the Services, to the extent permitted by law. This license continues for content already used in materials created before a valid deletion request, unless applicable law requires otherwise.

You represent that you have the necessary rights to submit the User Content, that it is accurate to the best of your knowledge, and that you have disclosed any material incentive or compensation connected with it. User Content must not infringe another person's rights, contain unlawful or malicious material, or mislead others about its origin.

We may moderate or remove User Content that violates these Terms or applicable law. We are not required to publish, keep confidential, compensate, or respond to User Content unless separately agreed.

Shopify is not the seller of BARISTANEST products and is not responsible for the products, fulfillment, or customer relationship between you and BARISTANEST.

To the extent permitted by applicable law, you release Shopify and its affiliates from claims arising solely from your purchase transaction with BARISTANEST. This section does not limit liability that cannot legally be excluded.

Where liability may lawfully be limited, our aggregate liability arising from a particular purchase will not exceed the amount you paid for the product giving rise to the claim, except where applicable law requires a different remedy or limit.

To the extent permitted by law, you agree to indemnify BARISTANEST and its affiliates, personnel, contractors, and service providers against third-party claims, losses, and reasonable costs arising directly from your unlawful misuse of the Services, your infringement of another person's rights, or your material breach of these Terms. The courts located in Shenzhen will have jurisdiction, except where applicable consumer law permits or requires you to bring a claim elsewhere. Before commencing formal proceedings, you and BARISTANEST agree to make a reasonable good-faith effort to resolve the dispute by contacting the other party.

## 21. General Terms

If any provision of these Terms is found unlawful or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver of that provision. These Terms and the policies incorporated by reference constitute the entire agreement concerning the Services and replace prior agreements on the same subject.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or transfer of the business, or as otherwise permitted by law.
